Terms of Use
The Small Islands Developing States (SIDS) Economic Community (SIDSEC) is an integrated platform to strategically shape SIDS industry agendas. SIDSEC helps the foremost political, business and other leaders of society to improve the state of SIDS, serving as independent and impartial partners and acting as the officially recognized international institution for government and public-private cooperation.
SIDSEC owns, operates and makes available sidsec.org. SIDSEC makes them available to the users of sidsec.org (individually “you” or “Visitor” and collectively “Visitors”) under the following Terms of Use:
1. Agreement to the Terms of Use
SIDSEC enables you to browse members, partnerships and projects, submitted contributions and to collaborate and connect with other users alongside other applications that may be available depending on your usage and profile. Please read these Terms of Use carefully before accessing SIDSEC. These Terms of Use contain conditions, disclaimers and other provisions, some of which limit SIDSEC’s liability. By registering and accessing sidsec.org you explicitly agree to be bound by these Terms of Use.
2. Account Registration
Usage of certain features in SIDSEC will require registration and creation of an account, such as accessing to features Members, Partnerships, Projects & Working Groups. In order to create an account, you must be 18 years of age or older. You will need to provide certain information as part of the registration process to access and use these additional features. Visitors may also create an account in sidsec.org in order to view more content that is relevant to the Visitor. Information provided for registration must be accurate, correct and up-to-date. We reserve the sole right to verify and deny access where information you provide us is incomplete, incorrect, inappropriate and/or missing.
You agree to be responsible for maintaining the confidentiality of your passwords or other account identifiers which you choose and all activities that occur under your account. By registering you agree that:
(i) your account and password are personal to you and may not be used by anyone else to access SIDSEC;
(ii) you will not do anything which would assist anyone who is not a registered user to gain access to any registered area of SIDSEC; and
(iii) you will not create registered accounts for the purpose of abusing the functionality of the site, or other users; nor will you seek to pass yourself off as another user.
You agree to notify us immediately if you become aware of any unauthorized use of your password or account identifiers by others.
3. Termination and Suspension of account
If you no longer wish to be subscribed to SIDSEC, you may delete your account by sending an email to info@sidsec.org. If you no longer accept these Terms of Use, or any future modification to these Terms of Use, you must cease using SIDSEC. Continued use of SIDSEC indicates your continued acceptance of these Terms of Use.
If, for any reason, we believe that you have not complied with these Terms of Use, we may, at our sole discretion, cancel or suspend your access to sidsec.org immediately and without prior notice. We may also cancel your account, at our sole discretion and without any further liability to you, by emailing you at the address you have registered stating that your account has been cancelled.
4. Privacy
Your privacy and the protection of your personal data are very important to us. For more information about SIDSEC’s privacy practices, you should review our privacy policy. Reviewing these policies will help you understand how we collect, process and safeguard the information you provide to us.
5. Appropriate Use
Visitors shall not use SIDSEC to (i) post, submit or otherwise distribute unlawful, defamatory, abusive, obscene or offensive materials (ii) post or transmit of any content to/through Uplink that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, endanger national security, or that would otherwise create liability or violate any local, state, national or international law (iii) attempt to decipher, decompile, disassemble or reverse engineer any content of SIDSEC or SIDSEC platform, (iv) transmit any viruses, corrupted data or other harmful, disruptive or destructive files (v) violate SIDSEC’s or third party rights including, but not limited to intellectual property or privacy rights (vi) access or attempt to access Uplink using interfaces aside from the ones provided by SIDSEC, (vii) limit or constrict the availability or quality of SIDSEC’ features (viii) commenting on other people ideas in a non-appropriate manner (ix) bypass, disable or delete any copy protection mechanisms or any security mechanisms on SIDSEC.
In case of violation of this Section 5, SIDSEC reserves the sole right to take any actions, including but not limited to cancel or suspend your access to SIDSEC.
6. Disclaimer of Warranties
SIDSEC IS PROVIDED “AS IS” AND “AS AVAILABLE” WITH NO EXPRESS OR IMPLIED WARRANTIES OF ANY KIND INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, NON-INFRINGEMENT, AND TITLE. SIDSEC DISCLAIMS ANY AND ALL LIABILITY FOR THE ACTS, OMISSIONS AND CONDUCT OF ANY THIRD PARTIES IN CONNECTION WITH OR RELATED TO VISITORS` USE OF SIDSEC. VISITORS ASSUME TOTAL RESPONSIBILITY FOR THEIR USE OF THE SIDSEC AND ANY LINKED SITES. IF THIS DISCLAIMER IS NOT ENFORCEABLE UNDER APPLICABLE LAW, IT MAY BE MODIFIED AT SIDSEC’S SOLE DISCRETION TO A FORM THAT IS ENFORCEABLE.
SIDSEC DOES NOT TAKE RESPONSIBILITY FOR THE CORRECTNESS, COMPLETENESS, UP-TO-DATEDNESS OR QUALITY OF THE INFORMATION PROVIDED IN SIDSEC. ESPECIALLY, THE OPINIONS EXPRESSED IN THE CONTENT CONTAINED IN SIDSEC ARE THOSE OF THE RESPECTIVE AUTHORS FOR SIDSEC AS SHOWN. THEY DO NOT NECESSARILY REFLECT THE POSITIONS OF SIDSEC. SIDSEC EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY TO ANY PERSON IN RESPECT OF ANYTHING DONE OR OMITTED TO BE DONE WHOLLY OR PARTIALLY IN RELIANCE UPON THE CONTENTS OF SIDSEC.
FURTHERMORE, SIDSEC IS NOT LIABLE FOR ANY DAMAGE OR CORRUPTION CAUSED BY VIRUSES (OR SIMILAR MECHANISMS SUCH AS WORMS, LOCK OUTS, METERING, OR SELF-DESTRUCT MECHANISMS) ON COMPUTERS OR OTHER TERMINAL EQUIPMENT IN CONNECTION WITH VISITING, USING AND/OR DOWNLOADING DATA OF ANY KIND FROM SIDSEC. THE VISITORS ARE PERSONALLY RESPONSIBLE FOR PROTECTING THEIR EQUIPMENT APPROPRIATELY FROM VIRUSES AND OTHER RISKS ON THE INTERNET. SIDSEC RESERVES THE RIGHT, AT ITS SOLE DISCRETION, BUT DISCLAIMS THE OBLIGATION, TO MONITOR AND/OR REMOVE ANY CONTENT FROM SIDSEC.
7. Intellectual Property Rights
SIDSEC publishes its own content as well as links, content, photographs, videos, graphics, logos and resources (“Content”) provided by you or third parties and content that has been specifically commissioned by SIDSEC for publication on sidsec.org.
Any Content of SIDSEC or third parties remains owned by SIDSEC or such third parties and your use of SIDSEC does not give you any rights of ownership in relation to such Content. You may only use such Content strictly in accordance with Section 9 below.
SIDSEC will retain all (including where applicable, ownership) rights in relation to any comments, ideas, and feedback provided by Visitors to SIDSEC in relation to the use of SIDSEC (“Visitor’s Feedback”)
SIDSEC’s name and logo are registered trademarks of SIDSEC. Visitors are not authorized to use SIDSEC’s name, logo or likeness without prior consent. Visitors are likewise not authorized to use the SIDSEC name, logo or likeness without prior consent.
8. Content of Uplink
Visitors may make use of the Content on SIDSEC and only strictly in accordance with the terms of Creative Commons Attribution-NonCommercial (“CC BY-NC”). SIDSEC reserves the right to revoke the CC BY-NC any time at its sole discretion.
Under the CC BY-NC license, Visitors may copy, distribute and transmit the Content of SIDSEC, in any medium or format provided that the Content is properly attributed to the author and SIDSEC in the manner specified by the author or SIDSEC (but not in any way that suggests that the author or SIDSEC endorses Visitor or their use of the Content), that any such use is for non-commercial purposes.
For the avoidance of doubt, the CC BY-NC does not apply to SIDSEC name and logo, third-party materials, trademarks, names and logos, SIDSEC interface elements, graphic files and source code, photographs and videos or any content that is herein excluded from the terms of CC BY-NC. SIDSEC reserves all rights which have not been expressly granted.
The following content standards apply to any and all content which you upload on to SIDSEC (“Visitor Content”). These content standards must be complied with in spirit as well as to the letter. The standards apply to each part of any Visitor Content as well as to its whole.
Visitor Content must:
- Be accurate (where it states facts).
- Be genuinely held (where it states opinions).
- Comply with all applicable laws in any country from which it is posted.
Visitor Content must not:
- Be defamatory of any person
- Be obscene, offensive, hateful or inflammatory
- Bully, insult, intimidate or humiliate
- Promote sexually explicit material
- Include child sexual abuse material
- Promote violence
- Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age
- Infringe any intellectual property right of any other person
- Be likely to deceive any person
- Breach any legal duty owed to a third party, such as a contractual duty or a duty of confidence
- Promote any illegal activity
- Be in contempt of court
- Be threatening, abuse or invade another’s privacy, or cause annoyance, inconvenience or needless anxiety
- Be likely to harass, upset, embarrass, alarm or annoy any other person
- Impersonate any person or misrepresent your identity or affiliation with any person
- Give the impression that the Visitor Content emanates from SIDSEC
- Advocate, promote, incite any party to commit, or assist any unlawful or criminal act such as (by way of example only) copyright infringement or computer misuse
- Contain a statement which you know or believe, or have reasonable grounds for believing, that members of the public to whom the statement is, or is to be, published are likely to understand as a direct or indirect encouragement or other inducement to the commission, preparation or instigation of acts of terrorism
- Contain any advertising or promote any services or web links to other sites
Visitor Content will be subject to the following licensing terms to SIDSEC. Those terms are different depending on how/where you upload Visitor Content:
If you select the “public” option on SIDSEC when uploading Visitor Content under Submitting Contributions feature: the Visitor Content will remain owned by you, but you agree that such Visitor Content is subject to the CC BY-NC and may be used by SIDSEC or other third parties in accordance with the terms of the CC BY-NC.
If you select the “restricted” option on SIDSEC when uploading Visitor Content under Submitting Contributions feature: the Visitor Content will remain owned by you, but you agree that such Visitor Content may be used by SIDSEC, including for the purposes of vetting the Visitor Content for the use of various SIDSEC projects and activities and for the purposes of sharing the Visitor Content with other third parties involved in such projects and activities. The title of the Visitor Content will be made publicly visible on SIDSEC but all other content will be restricted to the registered users that SIDSEC has explicitly vetted and third parties involved in those projects and activities.
If you select the “private” option on SIDSEC when uploading Visitor Content under Submitting Contributions feature: the Visitor Content will remain owned by you, but you agree that such Visitor Content may be used by SIDSEC, including for the purposes of vetting the content for use of different projects and activities and for the purposes of sharing your Visitor Content with other third parties involved in such projects and activities. Visitor Content will not be made public on SIDSEC.
If you upload Visitor Content via SIDSEC Working Groups feature: the Visitor Content will remain owned by you but you agree that it may be used by SIDSEC and the other members of the Working Groups in accordance with the terms of the CC BY-NC.
If you upload Visitor Content via SIDSEC Comment feature: the Visitor Content will remain owned by you but you agree that such Visitor Content is subject to the CC BY-NC and may be used by SIDSEC or other third parties in accordance with the terms of the CC BY-NC.
9. Links to other websites
Links in SIDSEC may connect Visitors to external or third-party websites that are not related to SIDSEC or under its control. SIDSEC is not responsible for the content of external or third-party websites that may be accessible or displayed through external links in SIDSEC. The presence of these external links does not represent SIDSEC’s endorsement of the views or content of these third-party websites. Navigating to external websites through links on SIDSEC is done at the sole risk of the Visitor, and SIDSEC expressly disclaims any liability for any content that appears on any external site.
10. Links to SIDSEC
The Visitor may link to SIDSEC provided the Visitor does so in a way that indicates that the link is to SIDSEC and is fair and not misleading. Visitors may not integrate or make use of all or part of SIDSEC in ways that would confuse or mislead other Visitors as to the nature and origin of SIDSEC’ content.
11. Amendments
SIDSEC may amend these Terms of Use at any time, and such amendments will be effective immediately upon notice being provided to the Visitor. Notice may be provided on SIDSEC itself, and after posting of the notice, the Visitor’s continued use of SIDS will be deemed as acceptance of the modified Terms of Use.
12. Waiver and Severability of Terms of Use
The failure of SIDSEC to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision. If any provision of these Terms of Use is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties` intention as reflected in the provision and the other provisions of these Terms of Use shall remain in full force and effect.
13. Applicable law
These Terms of Use shall be governed by and interpreted in accordance with the substantive laws of United Kingdom, under the exclusion of any international treaty and under exclusion of any conflicts of laws principles. Exclusive place of jurisdiction shall be London, United Kingdom.
